Separation & transitional services: Getting it right in M&A (Jan 2014)

Overview

How to separate the target business from the rest of the seller’s operations is increasingly becoming a “deal room item” in M&A transactions. Some highly publicised examples have shown that big deals can stand or fall depending on the feasibility of the separation project. When separation goes wrong, it can go seriously wrong with severe consequences for both buyer and seller. In this session we will look at some of the key issues that tend to come up as part of the planning, negotiation and implementation of separation projects, focusing on areas such as:

How to identify all shared systems and other resources

  • The issue of third party consents and related costs
  • Risk and liability frameworks between buyer and seller, and the impact on the sale documents
  • How to unravel shared functions, with a particular focus on employees
  • Dealing with sufficiency concerns buyers may have
  • Choosing the right cost model for a TSA
  • How to manage security and privacy concerns of both sides while using shared systems and databases
